CoreAZ Terms of Service

Welcome to CoreAZ! Please read these Terms of Service (the "Terms") carefully. These Terms apply to: (a) the website available at www.coreaz.ai (the "Website"), (b) CoreAZ's mobile application(s) (each, an "Application"), and (c) the products, services, features, technologies, and functionalities provided by CoreAZ (collectively, the "Services").

1. Overview of CoreAZ Services

1.1 Marketplace Services

CoreAZ operates as a marketplace platform that enables creators ("Creators") to sell digital products including AI prompts, workflows, templates, and other AI-powered tools ("Digital Products" or "Products") to buyers ("Buyers"). CoreAZ facilitates transactions, payment processing, and digital file delivery.

1.2 Platform Fee Structure

CoreAZ operates on a tiered pricing model that rewards Creators as they grow:

• Starter Tier (0-10 published products): 10% platform fee + payment processing fees (~3%)
• Creator Tier (11-50 published products, 5+ sales): 7% platform fee + payment processing fees (~3%)
• Pro Tier (51+ published products, 100+ sales, $5,000+ revenue): 5% platform fee + payment processing fees (~3%)

Payment processing fees are charged by Stripe and deducted from Creator earnings. Creators keep approximately 87-92% of each sale depending on their tier.

1.3 Automatic Tier Upgrades

Creator tiers are automatically upgraded when eligibility requirements are met. There are no manual applications or approval processes required.

2. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that: (a) you are of legal age to form a binding contract, (b) you are not prohibited from using the Services under applicable laws, and (c) you will comply with these Terms and all applicable local, state, national, and international laws.

3. Account Registration and Security

3.1 Creating an Account

To access certain features of the Services (including selling Products), you must register for an account ("Account"). When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account.

4. Creator Responsibilities

4.1 Product Quality

As a Creator, you represent and warrant that:

• You own or have the necessary rights to sell all Products you list
• Your Products do not infringe on any third-party intellectual property rights
• Your Products comply with all applicable laws and regulations
• Product descriptions are accurate and not misleading

4.2 Prohibited Content

Creators may not sell Products that:

• Infringe on intellectual property rights
• Contain malware, viruses, or harmful code
• Promote illegal activities or hate speech
• Violate privacy rights or contain personal data without consent
• Are sexually explicit or inappropriate for general audiences

4.3 Payout Setup

To receive payouts, Creators must:

• Complete Stripe Connect onboarding
• Provide valid bank account information
• Complete identity verification as required by Stripe
• Maintain accurate tax information

Payouts are processed automatically on a daily basis (2-3 business days) once Stripe Connect is fully set up and verified.

5. Buyer Rights and Purchases

5.1 Product Access

When you purchase a Product, you receive:

• Immediate access to download the Product files
• Access to all future updates and versions at no additional cost
• A personal, non-transferable, non-exclusive license to use the Product

5.2 Refund Policy

Due to the nature of digital products, all sales are generally final. However, refunds may be issued at CoreAZ's sole discretion in cases where:

• The Product is significantly different from its description
• Files are corrupted or unable to be downloaded
• The Product violates our Terms of Service

Refund requests must be submitted within 14 days of purchase to support@coreaz.ai.

6. Payment Processing

All payments are processed through Stripe. By making a purchase, you agree to Stripe's Terms of Service. CoreAZ does not store your payment card information.

6.1 Pricing and Taxes

Creators set their own prices for Products. All prices are displayed in USD unless otherwise specified. You are responsible for paying any applicable taxes.

6.2 Failed Payments

If a payment fails, you will not receive access to the Product until the payment is successfully processed.

7. Intellectual Property Rights

7.1 CoreAZ Platform

The Services, including all content, features, and functionality (excluding user-generated content), are owned by CoreAZ and are protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

Creators retain ownership of their Products. By uploading Products to CoreAZ, you grant CoreAZ a limited, worldwide, non-exclusive license to:

• Display, distribute, and promote your Products on the platform
• Use Product descriptions and images for marketing purposes
• Create thumbnails and previews of your Products

8. Product Versioning and Updates

CoreAZ automatically tracks product versions. When a Creator updates a published Product:

• A new version is created and stored
• All previous Buyers automatically get access to the new version
• Version history is maintained for transparency

This ensures Buyers always have access to the latest version of Products they've purchased.

9. Prohibited Activities

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Engage in fraudulent activities
• Manipulate sales metrics or reviews
• Create fake accounts or impersonate others
• Scrape or data mine the platform
• Interfere with the proper functioning of the Services

10. Account Termination

CoreAZ may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activities
• Repeated complaints from Buyers
• Prolonged inactivity

You may terminate your account at any time through your account settings. Upon termination, your Products will be delisted, but Buyers will retain access to Products they've purchased.

11. Disclaimers and Limitations of Liability

CoreAZ does not guarantee:

• Uninterrupted or error-free operation of the Services
• The quality, accuracy, or reliability of user-generated content
• That Products will meet your expectations
• That any defects will be corrected

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, COREAZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

12. Indemnification

You agree to indemnify, defend, and hold harmless CoreAZ from and against any claims, liabilities, damages, losses, and expenses arising from:

• Your violation of these Terms
• Your violation of any third-party rights
• Your use of the Services
• Content you upload to the platform

13. Changes to These Terms

CoreAZ reserves the right to modify these Terms at any time. We will notify you of material changes via email (if you have an account) and by posting the updated Terms on the Website.

Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of California, United States, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.
